1. Agreement to Terms

By accessing or using Alignify ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

Alignify is a team alignment and people management platform that helps organizations track goals, manage teams, conduct meetings, and foster employee engagement. The Service includes features for:

• Goal setting and progress tracking
• Team and organizational structure management
• One-on-one and group meeting facilitation
• Check-ins and performance tracking
• Employee recognition (Kudos)
• Surveys and feedback collection

3. User Accounts

Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Organization Accounts

If you create or join an organization account, you acknowledge that the organization administrator may have access to data and content within the organization workspace and may control certain aspects of your account within that organization.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use the Service for any fraudulent or deceptive purposes
• Collect or harvest user data without consent
• Upload viruses or malicious code
• Impersonate any person or entity

5. Intellectual Property

Our Content

The Service and its original content, features, and functionality are owned by Alignify and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.

6. Subscription and Payment

Billing

Some features of the Service require a paid subscription. You agree to pay all fees associated with your subscription plan. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

Price Changes

We reserve the right to modify our pricing at any time. Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, we will delete your data in accordance with our Privacy Policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALIGNIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Alignify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Alignify is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of that jurisdiction.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms.
